It cannot show that the board grasped where AI materially affected outcomes
It offers no evidence the board anticipated how AI failure would manifest
It relies on abstraction — exactly what AI collapses

It proves the board was intellectually present before the failure.
The Question Behind the Question
The director is not asking whether AI governance exists.
They are asking:
“Could this board credibly say it understood the risk — before harm occurred?”
“Did oversight evolve as AI behavior evolved?”
“Would an external reviewer conclude this board exercised judgment, not just process?”
Under AI, reasonable oversight is no longer procedural.
